Legal Notice and Terms of Use for Program Participation

Any and all users, enrollees or participants (collectively “participants” or “you”) are subject to the academic and administrative policies and procedures of Qualfon, S.C., its parent, affiliated entities and direct and indirect subsidiaries (collectively “Qualfon”) as well as Qualfon terms and conditions associated with the participation in any courses, programs, sessions or seminars or other offerings (collectively referred to as “programs”) by or through Qualfon. By the act of registration for any programs, each person also agrees and acknowledges to be bound by the policies, terms and conditions of any third party offering the programs. You are responsible for familiarizing with the general information, rules and regulations of Qualfon pertaining to any programs that you may select. You are also responsible for familiarizing yourself with the information, rules and regulations of any third party through which any programs are offered for which you have registered or enrolled or seek registration or enrollment. By accessing, using or participating in any programs you agree and acknowledge that you have read these terms and conditions and agree to be bound by and comply with them.

Programs are being offered at no cost to the participants. Participation in programs is completely voluntary and, thus, participants are not entitied to any compensation, benefits, remuneration or other payment for any time spent participating in programs or for any time spent studying as a part of any programs. Participants should only access the programs and/or spend any time studying in connection with such programs during non-working hours.

The programs are currently offered only to actives employees. If any employee is separated from Qualfon, either voluntarily or involuntarily, access to and participation in any Programs terminates immediately upon separation.

Programs are being offered by third-party providers. Participants agree and acknowledge that the programs are non-degree diploma or credit granting initiatives. Qualfon is providing the access to the programs and does not endorse the content of any prorgams. Participants agree and acknowledge that they are not entitled to earn college credit or other academic credit for participation in any of the prorgams.

The programs offered by or through Qualfon are being provided on an “as is” basis. The entire risk as to satisfactory quality, performance and completion of the programs is with the participant. Qualfon expressly disclaims all warranties of any kind, express or implied, including, without limitation, warranties of merchantability, title, non-infringement, fitness for a particular purpose, accuracy or fitness of results, non-interference with participant’s enjoyment or use of the programs. Participant acknowledges and agrees that the descriptions of the programs provided by Qualfon, whether by or through the Qualfon or through a third party, do not form the basis of any agreement between Qualfon and participant.

Qualfon shall not be liable to participant for any liability, claim, loss, damage or expense of any kind or nature (including negligence or strict liability) related to or connected with, directly or indirectly, by the participant’s use of the programs including, but not limited to: (1) terminating the offering of the programs or (2) unauthorized access, use or loss of personal information of a participant. Participant agrees that the disclaimers of warranties in this lease are fundamental to offering of these programs, and Qualfon would not have made the programs available without such disclaimers. Qualfon shall not be liable or responsible for any direct, indirect, incidental, punitive, or consequential damage to, or any loss or expense of participant resulting from, relating to or in any way based on the use or participation in any programs.

Participant shall indemnify, defend, and hold harmless Qualfon from and against any damages, fines, penalties, costs, and other amounts (including, but not limited to reasonable attorney’s fees and expenses) resulting from third party claims, demands, or causes of actions relating to or arising out of: (1) participant’s use of or reliance on, or attempted use of or reliance on, the programs; (2) participant using the programs in violation of any terms or conditions of Qualfon or third party offering the programs or (3) participant’s use of the programs in an improper or unauthorized manner.

Participant agrees and acknowledges that Qualfon reserves the right to terminate offering these programs without any penalty or liability for Qualfon to the participant. Qualfon reserves the right to modify these terms of use at any time. Qualfon will provide an update to these terms on the Qualfon University website or through other reasonable means of communication. Continued use of the programs after such modifications shall serve as your agreement to be bound by such modified terms.
